Holdyy provides software tools allowing users to create, manage, and track security deposits through third-party payment providers. Holdyy acts solely as a technology platform and does not hold funds, process payments directly, act as a financial institution, or provide escrow or banking services.

3. Eligibility

You must be legally capable of entering into binding agreements and use the Service only for lawful purposes. The Service is not intended for individuals under 18 years of age.

4. User Accounts

Users are responsible for maintaining the confidentiality of their login credentials and for all activity occurring under their account. Holdyy may suspend or restrict access in case of suspicious or unauthorized activity.

5. Payment Providers

All payment and security deposit transactions are processed by third-party payment providers selected by the user. Holdyy does not control payment processing decisions and is not responsible for payment failures, chargebacks, reversals, or account restrictions imposed by payment providers.

6. No Custody of Funds

Holdyy never takes custody, possession, or control of funds. All financial relationships exist exclusively between the user, their customer, and the payment provider.

7. Deposit Decisions and User Responsibility

Users retain full control over deposit terms, capture decisions, and release decisions. Holdyy does not recommend, validate, or approve any deposit action. Users assume full responsibility and liability for all decisions related to deposits.

8. Relationship Between Users and Customers

Holdyy is not a party to agreements between users and their customers. Users are solely responsible for defining terms, obtaining consent, handling disputes, and complying with applicable laws.

9. Platform Neutrality

Holdyy acts as a neutral technical provider. Nothing in these Terms creates an agency, partnership, fiduciary, or employment relationship between Holdyy and users.

10. Fees and Billing

Use of the Service may require payment of subscription or transaction fees. Fees are non-refundable unless required by law. Users are responsible for applicable taxes.

11. Acceptable Use

Users may not use the Service for illegal activity, fraud, unauthorized access attempts, or actions that interfere with platform security or stability. Holdyy may suspend or terminate accounts violating these rules.

12. Third-Party Integrations

The Service may integrate with third-party systems or APIs. Holdyy does not guarantee the availability or performance of third-party services.

13. Intellectual Property

All rights, title, and interest in the Service remain the exclusive property of Holdyy Users receive a limited, non-transferable license to use the Service.

14. Service Availability

Holdyy may modify, suspend, or discontinue features at any time without liability.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available." Holdyy makes no guarantees regarding uninterrupted service, accuracy, financial outcomes, or legal enforceability of transactions.

16. Limitation of Liability

To the maximum extent permitted by law, Holdyy shall not be liable for indirect or consequential damages, loss of profit, chargebacks, deposit disputes, or customer claims. Total liability shall not exceed the amount paid by the user to Holdyy during the twelve months preceding the claim.

17. Indemnification

Users agree to indemnify and hold Holdyy harmless from any claims or liabilities arising from their use of the Service, disputes with customers, or violation of applicable laws.

18. No Class Actions

Where permitted by law, users agree to resolve disputes individually and waive participation in class or collective actions.

19. Compliance With Laws

Users are solely responsible for ensuring that their use of the Service complies with all applicable laws and regulations.

20. Security and Anti-Fraud

Holdyy may use automated systems to monitor for fraud or abuse and may restrict or suspend accounts for security reasons.

21. Force Majeure

Holdyy shall not be liable for delays or failures caused by events beyond reasonable control, including technical outages or third-party failures.

22. Changes to Terms

These Terms may be updated at any time. Continued use of the Service constitutes acceptance of the updated Terms.

23. Governing Law

Applicable law shall be determined according to mandatory legal requirements relevant to the user's jurisdiction.

24. Legal Framework

Holdyy provides software tools only. Holdyy does not act as a bank, financial institution, escrow service, or payment processor. Users remain fully responsible for their business activities, security deposit terms, customer agreements, and compliance with applicable laws. Holdyy does not guarantee financial outcomes or the legal enforceability of deposits.
